Despite all those tax related issues, Nepal’s largest mobile operator by subscriber volume Ncell has been successfully acquired by Axiata, a Malaysia based international telecommunication group on April 12th, 2016. The announcement was made earlier on December 2015 where in Teliasonera would sell 80% of its share to Axiata. The take over announcement from Axiata comes with various offers from Ncell to its customers, plus we expect Ncell’s re-branding of logo and theme color as advised from the press release.

Axiata believes to bring long-term national development in Nepal via connectivity, technology and people for broader goal of Advancing Nepal – in line with Axiata’s slogan “Advancing Asia”. Immediate offers from the company highlights opportunities in international trunk calling and mobile-based remittance (to note there are approximately 1 million Nepalese working in Malaysia alone) – which will connect Nepalese together.
Axiata Roaming offer @ Rs 15:
This is an offer within Axiata Group-wide roaming service that includes discounted roaming prices to Ncell customers at Rs 15 per minute of inbound call (meaning roaming users on Axiata’s any network will be charged only Rs 15 per minute to make calls, receive them or text back home) however incoming text messages are free. This also includes Rs 15 per MB of cellular data on Axiata roaming networks.
Call Ayo Paisa Payo:
Ncell customers upon receiving international calls from Malaysia, Qatar, Saudi Arabia and the United Arab Emirates (UAE) lasting for more than five minutes, will receive attractive bonus balance as a part of Axiata’s second announcement offer.
Ncell rebranding:
We now can expect re-branding of Ncell once again (previously on 2010 it was both brand name and theme color from Spice Nepal to Ncell), the official Axiata website has published a new logo of Ncell while the name remains Ncell itself. Also we see a different theme color (other than Ncell’s usual purple theme) on various images with Axiata.
Plus customers are already getting old Teliasonera based Ncell goodies and merchandise (including Power bank, Pen drive, Ncell diary, Umbrella, Ncell T-shirt plus others like Ncell loaded mobile phones) – probably the company wants to get rid of the stock and start yet another new Ncell branding.

Advancing Nepal, Axiata Successfully Completes the Acquisition of Ncell

Immediate Product Synergies Being Realised
Leveraging on Axiata’s operating strong history in low-ARPU emerging Asia markets, synergies are expected in several areas. In particular, the overseas foreign workers (OFW) segment, where there are approximately one million Nepalese in Malaysia alone, representing opportunities in international calling and mobile-remittance.
In conjunction with Axiata’s entry into the Nepali market, the Group will soon launch two special edition voice and roaming products for Ncell customers. ‘Axiata Roam’, a Group-wide roaming service, will be introduced for the first time in Nepal offering discounted roaming prices to Ncell customers traveling within the Axiata footprint countries and roaming with its operating companies and partners. With its second product, ‘Call Ayo Paisa Payo’, Ncell customers upon receiving international calls from Malaysia, Qatar, Saudi Arabia and the United Arab Emirates (UAE) lasting for more than five minutes, will receive attractive bonus balance.

Transaction Details
Through its wholly-owned subsidiary, Axiata Investments (UK) Limited, Axiata completed the acquisition from TeliaSonera UTA Holdings B.V. (TeliaSonera) and SEA Telecom Investments B.V. of Reynolds Holdings Limited (Reynolds). The acquisition of Reynolds for the purchase price of USD1.365 billion plus customary adjustments at closing, effectively secures Axiata an 80% equity interest and controlling stake in Ncell. All the terms of the sale and purchase agreement were met for the completion of the transaction including approvals from all relevant regulatory authorities in Nepal and Malaysia.
Axiata enters the Nepal market with its local partner, Sunivera Capital Ventures Pte Ltd (Sunivera), holding 20% direct local shareholding in Ncell, as required under local law. Local partner transaction completion was a condition precedent to Axiata’s acquisition of Ncell.
